Eligibility

By using the Services, you represent and warrant that you are at least the age of majority in your jurisdiction, or that you are using the Services under the supervision of a parent or legal guardian who agrees to be bound by these Terms. The Services are not directed to children. You also represent that the information you provide to us is accurate and complete, and that your use of the Services does not violate any applicable law or regulation.

Your Account

You may need to create an account to access certain features or to make a purchase. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to keep your account information current and to notify us promptly of any unauthorized use or security breach. We may suspend or terminate your account if we reasonably believe these Terms have been violated. We recommend that you do not share your username, password, or other access details with anyone else.

Products, Pricing & Availability

We make every effort to display our products and their features as accurately as possible, including colors, materials, and specifications. However, actual products may vary, and we do not guarantee that product descriptions or other content are complete, accurate, current, or error-free. All prices are listed in Philippine Peso (₱) unless otherwise stated and are subject to change without notice. Products are offered subject to availability, and we reserve the right to limit quantities, discontinue any product, or correct any errors, inaccuracies, or omissions at any time.

Orders & Payment

When you place an order, you are making an offer to purchase the selected products subject to these Terms. Your order is not accepted until we confirm it and, where applicable, dispatch the products. We reserve the right to refuse or cancel any order — including after an order confirmation has been sent — for reasons such as product unavailability, errors in pricing or product information, or suspected fraudulent or unauthorized activity.

You agree to provide current, complete, and accurate purchase and account information for all purchases. You authorize us and our payment providers to charge your chosen payment method for the total amount of your order, including any applicable taxes and delivery fees. If we cancel an order after payment has been made, we will issue a refund using your original method of payment.

Shipping & Delivery

Delivery times and shipping fees are estimated at checkout and may vary based on your location and product availability. Title and risk of loss for products pass to you upon delivery to the address you provide. We are not responsible for delays caused by events beyond our reasonable control. Please ensure your delivery details are accurate; we may be unable to redirect or recover orders sent to an incorrectly provided address.

Returns, Warranty & Cancellations

Our warranty coverage, return conditions, and hygiene policy for mattresses and personal items are described in detail on our Warranty & Returns page, which forms part of these Terms — please review it before purchasing. In summary, every Zleep AI product is backed by a Lifetime Service Warranty and a 2-year warranty on parts and the AI mechanism, subject to the conditions and exclusions set out on that page. Requests must be filed within the stated timeframes and validated by our Customer Success team.

Intellectual Property

The Services and all of their contents — including text, graphics, logos, images, product designs, software, and the “Zleep AI” and “Zion” names and marks — are owned by or licensed to us and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use. You may not copy, reproduce, modify, distribute, publicly display, or create derivative works from any part of the Services without our prior written consent.

Acceptable Use

You agree not to use the Services to:

• violate any applicable law or regulation;
• infringe the intellectual property or other rights of any person;
• upload or transmit viruses or malicious code, or otherwise interfere with or disrupt the integrity or performance of the Services;
• attempt to gain unauthorized access to any part of the Services or related systems or networks;
• engage in any fraudulent, deceptive, or harmful activity; or
• collect or harvest information about other users.

We reserve the right to investigate and take appropriate action, including restricting or terminating access, against anyone who violates this section.

Your Content & Submissions

You may have the opportunity to submit content such as product reviews, feedback, or other materials (“Submissions”). You retain ownership of your Submissions, but you grant us a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, publish, adapt, and display them in connection with operating and promoting the Services. You represent that your Submissions are accurate, that you own or control the necessary rights, and that they do not violate these Terms or any third-party rights. We may, but are not obligated to, monitor, edit, or remove Submissions at our discretion.

Third-Party Links

The Services may contain links to websites or resources operated by third parties. We provide these links for your convenience only and do not endorse and are not responsible for the content, products, or practices of any third-party sites. Your use of third-party websites is subject to their own terms and policies, and we encourage you to review them.

Disclaimers

The Services and all products are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, except as expressly stated in our written product warranty. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any defects will be corrected. Nothing in these Terms limits any non-waivable rights you may have under the Consumer Act of the Philippines (Republic Act No. 7394) or other applicable law.

Limitation of Liability

To the fullest extent permitted by law, Zleep AI by Zion and its officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to your use of (or inability to use) the Services. Our total liability for any claim relating to the Services or a product will not exceed the amount you paid for the product giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

Indemnification

You agree to indemnify and hold harmless Zleep AI by Zion and its affiliates, officers, employees, and partners from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with your breach of these Terms, your misuse of the Services, or your violation of any law or the rights of a third party.

Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the competent courts of Valenzuela City, Metro Manila, Philippines, subject to any non-waivable rights you may have to bring proceedings in your place of residence.

Changes to These Terms

We may update these Terms from time to time to reflect changes to our practices or products, or for operational, legal, or regulatory reasons. We will post the revised Terms on this website and update the “Last updated” date above. Your continued use of the Services after any change takes effect constitutes your acceptance of the revised Terms.

General Terms

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign or transfer these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy and Warranty & Returns policy, constitute the entire agreement between you and Zleep AI by Zion regarding the Services.
